Hong Kong-Shenzhen Innovation and Technology Park Limited (“HSITPL”) has the sole and absolute discretion in relation to the admission of the company identified in the above form as a participant of the Tech Day Showcase organised by HSITPL (“Event”) (“Participant”) and reserves the right to terminate the Particpant’s participation in the Event at any time without giving prior notice. The Participant shall have no other claims against HSITPL for any of its loss or damage in connection with any such termination. 港深創新及科技園有限公司（「創科園公司」）對於任何上述表格所指明的公司是否獲准作為參與者（「參與者」）參與創科園公司舉辦的「Tech Day Showcase」（「活動」）擁有唯一且絕對的決定權並保留隨時終止任何參與者參與活動的權利，無需事先通知。參與者不得就任何此類終止所導致的損失或損害向創科園公司提出任何其他索償。
The Participant undertakes to (a) inform HSITPL as soon as reasonably practicable any objects or displays to be exhibited and the contents thereof prior the exhibition of the same during the Event and any subsequent change thereof and (b) forthwith remove any objects or displays or any contents thereof which HSITPL in its absolute discretion may consider unsuitable or objectionable whether or not the same may have been previously approved by HSITPL without any compensation payable by HSITPL.
參與者承諾(a)在合理可行的情況下，盡快向創科園公司提供任何擬於活動中展示的物品或展示品及其內容，並於展覽開始前及有任何後續變更時向創科園公司提供相關資訊及(b)如創科園公司基於其絕對酌情權認為相關物品或展示品不適宜或令人反感立即移除任何相關物品或展示品或其內容，不論該等物品或展示品是否曾獲創科園公司事先批准，創科園公司均無須支付任何賠償。
The Participant shall ensure that, so far as is reasonably practicable, every precaution is taken to ensure the health and safety of all exhibitors, contractors, attendees and visitors of the Event.
參與者應確保在合理可行的範圍內採取一切預防措施，以保障活動中所有參展商、承包商、與會者及訪客的健康與安全。
The Participant shall be responsible for the removal of all props and materials, which should be cleared off immediately following the closing of the Event. Any unattended materials left behind shall be removed and disposed by HSITPL.
參與者須負責移除所有道具及物料，並應於活動結束後立即清理。任何遺留現場之無人看管物料，將由創科園公司移除並處置。
The Participant shall be fully liable for any loss or damage caused by an act or omission of the Participant or its agents, representatives, contractors or employees to any property of HSITPL, its visitors or any other third parties.
參與者須對因其或其代理人、代表、承包商或僱員之作為或不作為，對創科園公司的財產、其訪客或任何其他第三方所造成之任何損失或損害，承擔全部責任。
HSITPL is under no financial or legal responsibility for any type of risk concerning or affecting the Participant and its personal belongings and exhibits. The Participant shall be responsible for effecting insurance which shall include (but not limited to) your displays and/or exhibits against loss or damage by theft, fire, water, public (including occupier’s liability) and any other natural causes.
對於參與者及其個人財物與展品所涉及或影響的任何風險，創科園公司概不承擔任何財務或法律責任。參與者應負責購買保險，該保險應涵蓋（但不限於）其展示品及／或展品，以防範因盜竊、火災、水患、公眾責任（包括佔用人法律責任）及任何其他自然因素所導致的損失或損壞。
All goods and other properties brought into the premises at which the Event is organised are brought at the owner’s risks. HSITPL does not accept any such goods or other properties into its charge or control and shall not be in any way responsible for any theft, loss or damage thereof or thereto.
所有帶入舉辦活動的場地的物品及其他財產均由其所有者承擔相關風險。創科園公司不接受任何該等物品或其他財產進入其保管或控制範圍，且對該等物品或財產的任何盜竊、遺失或損壞概不承擔任何責任。
The Participant shall be responsible for checking with the relevant government departments or organisations to apply for the required permits and licenses. Any such license fees resulting from the Event shall be solely borne by the Participant. Any functions and/or activities (including, without limitation, display and/or exhibit of any products or information) within the premises at which the Event is organised must be in compliance with all applicable statutory and regulatory requirements.
參與者應負責向相關政府部門或機構查詢並申請所需許可證及執照。因活動產生的任何執照費用均須由參與者自行承擔。於舉辦活動的場地內進行之任何活動及／或項目（包括但不限於任何產品或資訊之展示及／或展覽）均須符合所有適用之法定及監管要求。
The Participant shall not store or use any dangerous or inflammable goods on the premises at which the Event is organised. The use of flammable and volatile materials or materials under high pressure is strictly prohibited. Any exhibits or processes which generate noxious, dangerous, explosive or toxic fumes, exhausts or smoke, laser products or radioactive substance are not allowed.
參與者不得於舉辦活動的場地內儲存或使用任何危險或易燃物品。嚴禁使用易燃揮發性物質或高壓材料。任何會產生有害、危險、爆炸性或有毒氣體、廢氣、煙霧之展品或製程，以及雷射產品或放射性物質均不得使用。
Any use of the branding of HSITPL or Hong Kong-Shenzhen Innovation and Technology Park, including but not limited to its logos or marks, is prohibited without prior approval from HSITPL.
未經創科園公司事先批准，嚴禁使用創科園公司或港深創新及科技園之品牌標識，包括但不限於其標誌或商標。
The Participant warrants that the objects and/or products displayed and/or exhibited do not in any way whatsoever violate intellectual property or other third party rights including without limitation trademarks, copyrights, design, names and patents whether registered or otherwise or violate any applicable laws, rules and regulations of Hong Kong.
參與者保證所展示及／或展覽之物件及／或產品，絕不以任何方式侵犯任何知識產權或其他第三方權利，包括但不限於商標、版權、設計、名稱及專利（不論是否註冊），亦不違反香港任何適用之法律、規則及規例。
The Participant further undertakes not to display anything which is unlawful, in breach of any intellectual property rights, harmful, threatening, violent, offensive, defamatory, libelous, scandalous, seditious, vulgar, obscene, indecent, invasive of privacy, hateful, racially, ethnically or otherwise objectionable.
參與者進一步承諾，不得展示任何違法、侵犯任何智慧財產權、有害、威脅性、暴力、冒犯性、誹謗性、誹謗性、醜聞性、煽動性、粗俗、淫穢、不雅、侵犯隱私、仇恨性、基於種族、民族或其他原因而令人反感之內容。
The Participant agrees that HSITPL may without the need to obtain the Participant’s approval or consent display, publish, publicize, advertise or represent the Participant’s logos or marks or anything relating to, involving or including the whole or any part of such logos or marks in any of its promotional or advertising material at HSITPL’s absolute discretion without being liable to the Participant for damages, compensation or royalty payment.
參與者同意創科園公司無需取得參與者批准或同意即可全權酌情決定於其任何宣傳或廣告材料中展示、發布、宣傳、廣告或呈現參與者之標誌或商標及／或參與者向創科園公司提交的資訊及／或文件，或任何涉及、包含或關於該標誌或商標或參與者向創科園公司提交的資訊及／或文件的全部或部分內容，且無須就損害賠償、補償或版權使用費向參與者承擔責任。
The Participant shall indemnify HSITPL from any and all claims, actions, suits, proceedings, cost, expenses, damages and liabilities, in any way arising out of, connected with, or resulting from the use of the facilities and equipment, misbehavior, or violation of these Terms and Conditions.
參與者應就因使用設施及設備、行為失當或違反本條款及細則所引起、相關或導致之任何及所有索償、訴訟、訴訟程序、費用、開支、損害賠償及法律責任，向創科園公司作出賠償。
The Participant shall have no claims whatsoever against HSITPL, its employees, agents, representatives in respect of any loss or damage suffered by or caused to the Participant and/or its representatives, agents, employees or any third party or other property in the course of or in relation to the Event.
參與者不得就其本人及／或其代表人、代理人、僱員或任何第三方於活動過程中或與活動相關所遭受或造成的任何損失或損害，向創科園公司、其僱員、代理人或代表人提出任何索償。
HSITPL assumes no responsibility for any introduction or transaction made between the Participant and any third party as a result of the Event.
創科園公司對於因活動而促成參與者與任何第三方之間所進行的任何介紹或交易，概不承擔任何責任。
The Participant undertakes to indemnify and at all times hereafter to keep indemnified HSITPL from and against all liabilities, actions, proceedings, claims, damages, cost and expenses whatsoever which it may suffer or incur by reason of or in relation to any act, omission or default by the Participant or its officers, representatives, agents and employees in relation to the Event.<
參與者承諾賠償並於今後任何時間持續使創科園公司免於承擔因參與者或其人員、代表、代理人及僱員就本活動所為之任何作為、不作為或違約行為，而導致或與之相關之任何責任、訴訟、程序、索償、損害賠償、費用及開支。
The Participant shall be liable for any damage resulting from negligence, unintentional acts or unauthorized maintenance or any other cause within the reasonable control of the contractors, its representatives, employees, agents or invitees. In the event of any loss of or damage to any equipment, the Participant shall be liable and reimburse HSITPL the total cost of making good the damage or effecting replacement.
參與者應對因疏忽、非故意行為、未經授權之維護或其他任何可合理歸責於承包商及其代表、僱員、代理人或受邀者之原因所導致之損害承擔責任。若任何設備發生損失或損壞，參與者應承擔賠償責任，並向創科園公司全額償付修復損害或進行更換之總成本。
HSITPL and its officers, employees, and agents shall not be liable for any loss or damage suffered or incurred by the Participant and/or its representatives, agents, employees, customers, invitees or licensees for any reason whatsoever.
創科園公司、其管理人員、僱員及代理人，對於參與者及其代表、代理人、僱員、客戶、受邀者或被授權人因任何原因所遭受或招致之任何損失或損害，概不承擔責任。
The Participant represents, hereby fully and unconditionally waives its individual and collective rights to recover from HSITPL and its officers, employees, and agents, any loss, damage, restitution or compensation arising out of these Terms and Conditions or out of the use of any facilities associated with these Terms and Conditions. Such waiver includes, without limitation, waiver of liability for death, personal injury, theft, damage to motor vehicles, loss of property from within motor vehicles, business interruption, lost profits, consequential damages, and rights of subrogation.
參與者聲明及完全且無條件地放棄其個人及集體權利，不得向創科園公司及其人員、員工及代理人追索因本條款及細則或使用與本條款及細則相關之任何設施所產生之任何損失、損害、賠償或補償。此項放棄包含但不限於：對死亡、人身傷害、盜竊、機動車輛損壞、機動車輛內財產損失、業務中斷、利潤損失、間接損害之責任豁免，以及代位求償權之放棄。
The Participant shall, at all times, obey and comply with all ordinances, regulations, byelaws, rules and requirements of any governmental or other competent authority (including but not limited to the Law of the People’s Republic of China on Safeguarding National Security in the Hong Kong Special Administrative Region) relating to the Participant’s participation in the Event.
參與者須於任何時候遵守並遵循任何政府或其他主管機關（包括但不限於《中華人民共和國香港特別行政區維護國家安全法》）就參與者參與活動所頒布之所有條例、規章、附例、規則及要求。
Submission of Information and/or Document 提交資訊及／或文件
For registrants who are representatives of the Participant who is/are responsible for providing HSITPL with relevant information and/or documents for the Participant’s participation in the Event:
就代表參與者負責向創科園公司提供參與者參與活動所需之相關資訊及／或文件的登記人而言：
such registrants shall provide true, accurate and complete information to HSITPL and shall not provide HSITPL with any false, incorrect or misleading information;
該等登記人須向創科園公司提供真實、準確且完整的資訊，亦不得提供任何虛假、錯誤或誤導性資訊; 及
such registrants warrant that they have the full authority to act on behalf of the Participant; and
該等登記人保證其擁有充分授權代表參與者行事。
HSITPL reserves the absolute right to alter these Terms and Conditions from time to time at its sole and absolute discretion without giving any reason and any prior notice.
創科園公司保留絕對權利，在無須給予任何理由及事先通知的情況下，行使其全權及絕對酌情權不時修改本條款及細則。
In the event of any discrepancy between the English version of these Terms and Conditions and the Chinese translation of these Terms and Conditions, the English version shall prevail.
如本條款與細則的英文文本與中文譯本有任何不一致，則以英文文本為準。
